Why do I get an error code 402 when I try to update?

I have been trying for months to download and install the software update for my galaxy note 3 I currently have 4.4.4 running. The first download installed with no problem. The lollipop download starts installation then fails... Error code 402.  I have done a factory reset and no change. It wouldn't bug me so much if it didn't re-download and prompt me to install every single day....I usually postpone it.... But I tried to install again today to no avail.

The update requires a good wifi signal and,  in my case, the entire process took about 2 hours to complete.

IF your wifi drops, that might cause repeated failure.

if you have a Best Buy near you, ask the Samsung desk to update the phone for you.
